Terms of Service
Effective 30 August 2026 · Version 0.1-draft (draft)
This is a pilot-stage draft, not a final legal document.
flipexcess is an early, pilot-stage marketplace. These terms have not yet been reviewed by a qualified lawyer and should not be relied on as a complete or binding statement of your rights and obligations. A fuller, professionally reviewed version will replace this page before flipexcess accepts real transactions at scale.
1. Who this applies to
These terms apply to any business that creates an account on flipexcess to browse, list, buy, or sell surplus food and beverage inventory in Singapore.
2. What flipexcess is (and isn't) today
flipexcess is a pilot-stage marketplace connecting Singapore F&B businesses with surplus inventory to buyers. Listings, bidding, verification, and staged payments are still being built out and tested. Features described on the site may be partially implemented, in testing, or not yet available to every account. flipexcess does not currently operate as a licensed escrow provider; payment terminology on the site is being reviewed and corrected to accurately reflect how payments actually work (see our Trust Centre, once published, for the current status).
3. Your account
You're responsible for the accuracy of the information you submit, including business registration details, contact information, and any documents you upload for verification. One verified business account may both buy and sell.
4. Listings and transactions
Sellers are responsible for the accuracy of listing information, including quantity, condition, and any food-safety or traceability details required for the category. Buyers are responsible for reviewing listing evidence before bidding. flipexcess is a marketplace, not a party to the sale: we do not own, inspect, or guarantee any stock listed, and we make no warranty as to its quantity, condition, safety, or fitness for any purpose. Full transaction terms — fees, deposit and balance timing, cancellation, and dispute handling — will be published here before any payment is collected through the platform.[Clause requires professional legal review before this becomes binding.]
5. Prohibited conduct
You agree not to misrepresent your business identity, list inventory you don't have the right to sell, or attempt to bypass verification requirements.
6. Changes to these terms
Because flipexcess is still early-stage, these terms will change as the product and its legal review progress. We'll update the effective date and version above when they do.[You will be asked to accept a new version before it applies to you.]
